State-owned companies occupy a unique position: they are expected to deliver results in competitive environments while remaining subject to public law controls. This hybrid regime demands decisions that reconcile business strategy, regulatory compliance and integrity rules.

Sound governance depends on internal controls, risk management, transparency and a clear allocation of responsibilities among managers, boards and technical areas. When these elements are weak, the usual outcome is an increase in disputes, sanctions by oversight bodies and loss of economic and reputational value.

When is litigation worthwhile? Objective criteria

Filing a lawsuit or an administrative challenge should not be an automatic reflex, but a strategic choice. Litigation consumes time, institutional energy and financial resources, and may expose companies or public entities to adverse precedents and increased liabilities.

A sound decision is guided by objective criteria: the quality of available evidence; consistency of the legal theory with prevailing case law; financial and reputational impact of the dispute; feasibility of a negotiated or administrative solution; and indirect costs involved.
